This decision affirms a demurrer to numerous claims by sellers against eBay for various charges and other policies it enforces against them under its user agreement. Although the user agreement is an adhesion contract, the decision holds that it and eBau’s policies are published on its website, and though they are lengthy, sellers are under no time pressure to agree. Also, there is no oppression as the sellers have alternative means of marketing their products or services on other terms. Also, eBay’s terms and policies are not grossly unfair, but serve its legitimate business needs. The complaint also failed to allege wrongful conduct in claims for intentional interference with prospective economic relations, breach of the implied covenant of good faith, and various other torts including aiding and abetting buyers’ alleged fraud in seeking refunds for defective merchandise.
