Corp. Code 5142 and 5223 provide that a director of a nonprofit corporation may sue to enjoin a breach of the charitable trust and/or to remove another director fraudulent or dishonest acts, gross abuse of authority, or breach of duty. This decision holds that since the two statutes do not use the instituted or maintained” language used in Corp. Code 800 with respect to shareholder’s derivative actions in for-profit corporations, it is only necessary for the plaintiff to be a director of the nonprofit corporation at the outset of the suit, not throughout its course. So the suit could continue after plaintiff was booted off the nonprofit corporation’s board. Accord: Summers v. Colete (2019) 34 Cal.App.5th 361.
